Opportunity
The role of a Corporate Intellectual Property (IP) Counsel involves overseeing the company’s IP strategy and ensuring the protection, enforcement, and commercialization of its intellectual property assets.
Responsibilities:
IP Strategy Development
- Advise management on the creation and implementation of intellectual property strategies that align with the company’s business objectives.
- Conduct IP portfolio assessments and recommend ways to enhance value.
- Help the company navigate international IP issues and global IP strategy.
- Manage the filing and prosecution of patents, trademarks, copyrights, and trade secrets.
- Work with external counsel to protect the company's intellectual property rights.
- Review and advise on inventions and creative works to determine patentability, copyrightability, and other forms of protection.
- Develop and enforce strategies to protect the company's IP rights, including taking action against infringement.
- Oversee and manage any IP-related litigation, including settlement discussions, in coordination with outside counsel.
- Monitor the market for potential IP infringement and manage cease-and-desist letters.
- Negotiate and draft IP-related agreements, such as licensing agreements, joint development agreements, and non-disclosure agreements (NDAs).
- Advise on the monetization of IP through licensing, assignment, and commercialization efforts.
- Manage IP provisions in broader commercial contracts (e.g., mergers, acquisitions, or partnerships).
- Maintain and oversee the company’s intellectual property portfolio, ensuring that key assets are properly registered, maintained, and renewed.
- Regularly assess the value of IP assets and provide strategic recommendations on acquisitions or divestitures.
- Ensure that the company complies with IP laws and regulations at both national and international levels.
- Identify potential IP risks and advise on mitigating these risks.
- Stay current with changes in IP law and industry best practices.
- Provide training and guidance to employees regarding IP protection and policies, including the importance of confidentiality and avoiding infringement.
- Promote an IP-aware culture within the company to encourage innovation while protecting company assets.
- Work closely with marketing, product development, and legal teams to integrate IP considerations into business operations and product strategies.
- Advise on issues related to branding, trademark protection, and ensuring that new products and innovations do not infringe on third-party rights.
- Participate in due diligence during mergers, acquisitions, or investments, with a focus on assessing the target’s IP portfolio and potential risks.
- Help structure IP-related aspects of transactions, including asset transfers, licensing agreements, and IP valuation.
- Manage relationships with external legal counsel, consultants, and IP professionals.
- Represent the company in IP-related proceedings or negotiations before government agencies, courts, or regulatory bodies.
- Oversee the patent application process and trademark registration, ensuring the company’s innovations and brands are adequately protected.
- Advise on patent infringement matters and freedom-to-operate analysis to ensure the company is not infringing on third-party IP.
Minimum of 8 plus years of ip law experience, preferably in the seminar/sales industry.
JD degree
- Thorough knowledge of relevant laws, regulations, and industry standards pertaining to consumer sales, both in-person and tele-sales.
- Strong understanding of SEC and FTC regulations related to advertising, financial disclosures, and consumer protection.
- Ability to manage multiple projects while ensuring brand consistency and regulatory adherence and meeting deadlines effectively.
- Excellent analytical and problem-solving skills.
- Meticulous attention to detail and exceptional organizational skills.
- Strong collaboration skills to work cross-functionally with legal, compliance, sales and marketing teams.
- Strong interpersonal skills, with the ability to build collaborative relationships and influence stakeholders at all levels.
- Proficiency in using Asana software and other relevant tools.
- In-house corporate experience a plus.
